1. Definitions

"Company" refers to Pasage Studios, located at 401 Bingham Street, Pittsburgh, PA.
"Client" refers to any individual or entity engaging the services of the Company.
"Services" encompass all offerings provided by the Company, including but not limited to photography, videography, music recording, content creation, social media management, and digital advertising.
"Agreement" refers to this Terms and Conditions document.

2. Booking and Payment

2.1 Booking Confirmation: A booking is considered confirmed only upon receipt of the full payment of the total service fee.
2.2 Payment Terms: Full payment is required at the time of booking to secure your appointment. Payments can be made via [Specify Payment Methods].
2.3 Cancellations and Refunds:
- a. Cancellations Made More Than 48 Hours Before Scheduled Appointment: Clients may cancel or reschedule their appointment without any penalty if done more than 48 hours prior to the scheduled time.
- b. Cancellations Made Less Than 48 Hours Before Scheduled Appointment: Cancellations made within 48 hours of the scheduled appointment will incur a charge of 35% of the booking amount.
- c. Refund Processing: Refunds, when applicable, will be processed within 6-8 business days back to the original payment method used at the time of booking.
- d. Rescheduling: Clients wishing to reschedule are encouraged to do so at least 48 hours in advance to avoid any charges.

3. Studio Usage

3.1 Access: Clients and their associates are granted access to the studio premises only during the agreed-upon booking times.
3.2 Conduct: Clients are responsible for the behavior of their guests and must ensure that studio property is not damaged. The Company reserves the right to terminate the session without refund if inappropriate conduct occurs.
3.3 Equipment Usage: Any equipment provided by the Company must be used responsibly. Clients may be held liable for damages resulting from misuse.

4. Intellectual Property

4.1 Ownership: Unless otherwise agreed upon in writing, the Company retains all rights to the content created during the provision of Services.
4.2 Usage Rights: Clients are granted a non-exclusive license to use the delivered content for personal or commercial purposes as outlined in the specific service agreement.
4.3 Third-Party Usage: Clients must obtain written consent from the Company before transferring usage rights to third parties.

5. Confidentiality

5.1 Client Information: The Company agrees to keep all client information and project details confidential, except where necessary to execute the Services or as required by law.
5.2 Portfolio Use: Unless expressly prohibited by the Client, the Company reserves the right to use content created during the project for portfolio and marketing purposes.

6. Limitation of Liability

6.1 Service Delivery: While the Company strives to deliver Services to the highest standards, it shall not be held liable for circumstances beyond its control that may affect service delivery, including but not limited to equipment failure, power outages, or acts of nature.
6.2 Damages: The Company's liability for any claim arising from this Agreement shall not exceed the total fees paid by the Client for the Services rendered.

7. Governing Law and Dispute Resolution

7.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.
7.2 Dispute Resolution: In the event of any disputes arising under or in connection with this Agreement, the parties agree to first seek resolution through mediation. If mediation fails, disputes shall be resolved through arbitration conducted in Pittsburgh, PA, in accordance with the rules of the American Arbitration Association.

8. Amendments

8.1 Changes to Terms: The Company reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any significant changes prior to their implementation.
